1. Introduction & Acceptance
Welcome to Whatapi ("the Platform," "we," "us," or "our"), operated by Whatapi Technologies. By accessing or using our website at whatapi.pk, our API endpoints, dashboard, and any associated services (collectively, "the Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.
These Terms constitute a legally binding agreement between you ("you," "your," "User," or "Customer") and Whatapi Technologies. Please read them carefully. We may update these Terms from time to time, and your continued use of the Services after any changes constitutes acceptance of the revised Terms.
2. Account Registration & Security
To access certain features of the Platform, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete account information (business name, email address, phone number, and billing details).
- Maintain and promptly update your account information to keep it accurate.
- Maintain the confidentiality of your login credentials, API keys, and session tokens.
- Notify us immediately of any unauthorized use of your account or any security breach at support@whatapi.pk.
- Accept full responsibility for all activities that occur under your account, including API usage by third parties you have authorized.
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably suspect have been compromised. You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account and use the Services.
3. Service Description
Whatapi is a WhatsApp API automation platform that provides businesses with the tools to send, receive, and manage WhatsApp messages at scale. The Services include, but are not limited to:
- Bulk Messaging: Send promotional, transactional, and notification messages to opted-in customers via WhatsApp.
- Automation: Automated workflows triggered by customer actions (e.g., order confirmations, abandoned cart reminders, shipping updates).
- CRM Integration: Native integrations with WooCommerce, Shopify, and other e-commerce platforms to synchronize customer data and automate messaging.
- Chatbots: AI-powered conversational bots to handle customer inquiries and support requests.
- Analytics Dashboard: Real-time reporting on message delivery, open rates, click-through rates, and customer engagement metrics.
- API Access: RESTful API endpoints for developers to integrate WhatsApp messaging into their custom applications.
The Services are provided on a subscription basis with varying tiers of features, message volumes, and support levels. Detailed descriptions of each plan are available on our Pricing page.
4. User Obligations & Acceptable Use
As a condition of using the Services, you agree to the following obligations and restrictions:
Opt-In Consent: You must obtain explicit, informed consent from recipients before sending them WhatsApp messages via the Platform. Messages may only be sent to individuals who have voluntarily provided their phone number and agreed to receive communications from your business. You must maintain records of such consent.
Prohibited Uses: You agree not to use the Services for any of the following:
- Sending unsolicited messages, spam, or bulk commercial messages without proper consent (cold outreach).
- Transmitting any content that is illegal, harassing, defamatory, obscene, fraudulent, or otherwise objectionable.
- Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.
- Violating WhatsApp's Business Messaging Policy, WhatsApp's Terms of Service, or any applicable laws or regulations.
- Using the Platform to send messages containing malware, viruses, phishing links, or other harmful code.
- Engaging in any activity that could damage, disable, overburden, or impair the Platform's infrastructure.
- Attempting to bypass rate limits, access restrictions, or security measures of the Platform.
Compliance with Laws: You are solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and industry standards, including but not limited to data protection laws (GDPR, CCPA, etc.), consumer protection laws, and telecommunications regulations in your jurisdiction.
Rate Limits: To maintain service quality and comply with WhatsApp's traffic policies, we enforce rate limits on message sending. Bulk messages are subject to configurable delays (typically 10–30 seconds between messages). You agree not to circumvent these limits.
5. Fees & Payments
Subscription Fees: The Services are offered on a subscription basis. Fees are billed in advance on a monthly or annual basis, as selected during checkout. All fees are non-refundable except as expressly stated in our Refund Policy.
Payment Processing: All payments are processed securely through Stripe, our third-party payment processor. By subscribing, you authorize Stripe to charge your selected payment method according to your chosen billing cycle. We do not store your full payment card details on our servers.
Taxes: You are responsible for all applicable taxes, duties, and government charges associated with your subscription, excluding taxes based on our net income.
Late Payments: If your payment method fails or your account becomes overdue, we may suspend access to the Services until payment is received. Continued non-payment may result in account termination and data deletion per our data retention policy.
Price Changes: We reserve the right to modify our pricing with 30 days' prior notice. Price increases will not apply to customers on active annual plans until their renewal date.
6. Intellectual Property
Our IP: The Platform, including its source code, APIs, dashboard interface, documentation, logos, trademarks, and all related intellectual property, is owned by Whatapi Technologies or its licensors. You may not copy, modify, reverse engineer, distribute, sell, or create derivative works of the Platform without our express written permission.
Your IP: You retain all ownership rights to the content you send through the Platform, including message content, media files, and customer data. By using the Services, you grant us a limited, non-exclusive license to process, store, and transmit your content solely for the purpose of providing the Services to you.
Feedback: Any suggestions, feature requests, or feedback you provide about the Platform may be used by us without compensation or obligation to you.
7. Data Privacy & Security
Your privacy is important to us. Our collection, use, and processing of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Data Processing: We act as a data processor for the customer data you submit through the Platform. You are the data controller and are responsible for ensuring that you have the legal basis to collect and process such data.
Data Security: We implement industry-standard security measures, including TLS encryption for data in transit, encrypted storage at rest, access controls, and regular security audits. Detailed information is available in our Security documentation.
Data Retention: Message metadata (status, timestamps, sender/recipient identifiers) is retained for analytical purposes. Message body content is not stored long-term on our servers and is routed through WhatsApp's infrastructure in real time.
8. Third-Party Services
The Platform integrates with third-party services including but not limited to WhatsApp (via Meta's WhatsApp Business API), Shopify, WooCommerce, Stripe, Google Cloud, and Firebase. Your use of these third-party services is subject to their respective terms of service and privacy policies.
We are not responsible for the availability, reliability, or security of third-party services. Any issues arising from third-party service disruptions (e.g., WhatsApp outages, Shopify API changes) are outside our control, and we will make reasonable efforts to restore functionality as soon as possible.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
- In no event shall Whatapi Technologies, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, including but not limited to loss of profits, loss of data, business interruption, or reputational harm.
- Our total aggregate liability to you for any claim arising from these Terms or your use of the Services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Whatapi Technologies, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Services in violation of these Terms.
- Your violation of any applicable law or regulation.
- Your content or message content that infringes the rights of any third party.
- Any dispute between you and your customers or message recipients.
11. Termination & Suspension
Termination by You: You may terminate your account at any time through your dashboard settings or by contacting support@whatapi.pk. Upon termination, your subscription will remain active until the end of the current billing period.
Termination by Us: We reserve the right to suspend or terminate your account immediately without prior notice if:
- You breach these Terms or any applicable policy.
- Your use of the Platform violates WhatsApp's policies, resulting in a ban or restriction on our API access.
- We reasonably suspect fraudulent or illegal activity associated with your account.
- Your payment is overdue beyond 30 days.
Effect of Termination: Upon termination, your access to the Services will cease. We will delete your data within 90 days of termination unless required by law to retain it. It is your responsibility to export any data you wish to keep before termination.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to its conflict of law provisions.
Dispute Resolution: Any disputes arising from these Terms shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the Pakistan Chartered Institute of Arbitrators. The arbitration shall take place in Lahore, Pakistan, and shall be conducted in English.
Class Action Waiver: You agree that any proceedings to resolve disputes will be conducted on an individual basis and not as a class, consolidated, or representative action.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website, with material changes notified to you via email or through the dashboard. Your continued use of the Services after the effective date of any changes constitutes acceptance of the modified Terms.
If you do not agree to the modified Terms, you must discontinue use of the Services and terminate your account prior to the effective date of the changes.
